By purchasing services, accepting a quote, submitting a form, or using our website, you (“client”, “you”, “your”) agree to these Terms & Conditions.
1. Definitions
Services: All activities provided or organised by VINQ Solutions, including but not limited to company formation, licensing, document preparation, translations, legalisations, banking introductions, visa & residence support, accounting & compliance services, office/flexi-desk facilitation, real estate services, and related business support.
Agreement: Any arrangement between VINQ Solutions and the client, including these terms, quotes, order confirmations, emails, invoices and related documentation.
Third Parties: Governments, courts, banks, free zones (e.g., IFZA), notaries, translators, real estate brokers and any external service providers used during service delivery.
2. Applicable Law & Jurisdiction
These Terms and Conditions and any disputes arising from them are governed exclusively by the laws of the United Arab Emirates. Any disputes shall be submitted to the competent courts in Dubai, UAE. VINQ Solutions may, at its discretion, pursue resolution through any other competent forum within the UAE if it is deemed efficient for resolving the dispute.
3. Scope of Services
VINQ Solutions provides services based on a best-efforts obligation. We act with professional care, but do not guarantee outcomes, such as licence approval, bank account opening or visa issuance, as these decisions rest with third parties or authorities. Stated timeframes are estimates; delays outside our control are not our responsibility. We may engage third parties without separate notice, and are not liable for the errors or omissions of these third parties.
4. Client Obligations
You agree to:
Provide complete, accurate and timely information and documents requested by us or by third parties (e.g., for KYC/AML compliance).
Guarantee the authenticity, correctness and legal validity of all provided information.
Cooperate in a timely manner with signing, delivering documents, and paying required fees.
Comply with all applicable laws and regulations of the UAE and other relevant jurisdictions.
5. Fees, Pricing & Scope Changes
Unless otherwise agreed in writing, quotes are indicative and based on current information at the time of issuance. Changes in legislation, scope or requirements may lead to price adjustments.
Fees do not include local taxes (VAT), government fees, registration fees, courier/notary/translation charges or banking costs, which are the responsibility of the client.
Payments must be made in the currency stated on the invoice, typically AED or USD.
All third-party fees (government, bank, translation etc.) are payable upfront and non-refundable irrespective of outcomes.
6. Payment Terms
Unless otherwise stated, our own fees must be paid in full before commencement of the relevant service or phase.
Other invoices are due within 7 calendar days of invoice date (net).
Overdue payments incur contractual interest of 1.5% per month (18% per annum) or the maximum permissible under applicable law.
Administrative and collection costs, including legal fees, are recoverable from the client in the event of default.
We may suspend services, retain documents, or pause processes with third parties until full payment is received without liability for resulting delays.
7. Cancellation, Termination & Refunds
By the client before service start: Refund of unused fees may be possible, less reasonable administrative and preparation costs.
After commencement of work: No refund of own fees; third-party costs remain the client’s responsibility.
We may terminate or suspend an agreement for non-payment, lack of cooperation, suspected misconduct, or breach of terms.
8. Compliance, KYC/AML & Sanctions
VINQ Solutions may refuse or cease services if required KYC/AML documentation is not provided or if there is a risk involving sanctions, fraud, money-laundering or terrorism financing.
The client guarantees not to be a sanctioned individual and that all funds have a lawful origin.
We may share information with competent authorities when required by law.
9. Confidentiality & Data Protection
Both parties shall treat confidential information with strict confidentiality. Disclosure is permitted only as necessary for service provision or when required by law. VINQ Solutions adheres to applicable UAE data protection laws and where relevant considers GDPR principles for EEA-related data, to the extent consistent with UAE law.
10. Intellectual Property
All documents, models, advice, methods and content developed by VINQ Solutions remain our exclusive property. Use, reproduction or distribution is permitted only with prior written consent.
11. Guarantees & Disclaimers
Advice is based on laws and practice at the time of provision. The client acknowledges that regulations and policies may change. VINQ Solutions is not responsible for decisions, delays or omissions by third parties (including governments, banks, notaries, translators, brokers).
12. Liability & Indemnity
VINQ Solutions’ liability is limited to the amount paid by the client for the relevant service (max the total fee for that engagement).
VINQ Solutions is not liable for indirect damages, lost profits, contract losses, goodwill loss or data loss.
The client indemnifies VINQ Solutions against third-party claims related to the use of services or inaccurate/ incomplete client information.
13. Force Majeure
VINQ Solutions is not liable for events beyond control, including natural disasters, pandemics, war, strikes, infrastructure/IT failures, government actions or third-party delays. Terms may be extended or services suspended without liability.
14. Duration & Termination
The agreement continues until agreed services are completed, unless terminated earlier according to these terms. Termination does not affect obligations for already delivered work or fees due.
15. Assignment & Subcontracting
VINQ Solutions may assign or subcontract rights and obligations. The client may not assign rights without prior written consent.
16. Changes to Terms
We may amend these terms unilaterally. The most recent version on the website applies from publication/communication.
17. Validity, Waiver & Entire Agreement
If any provision is invalid, the remainder remains in force. Failure to enforce rights does not constitute waiver. These terms plus offers/invoices form the entire agreement.

Formal notices shall be made in writing by registered mail or email to the addresses provided herein or updated by parties.
